4.2 Client Intellectual Property

Upon full payment for our services, you will own the intellectual property rights to the final deliverables created specifically for you, unless otherwise agreed in writing. We retain the right to use the work in our portfolio and for promotional purposes unless explicitly restricted by a non-disclosure agreement.

4.3 Third-Party Components

Some deliverables may include third-party components, libraries, or frameworks that are subject to their own licenses. We will inform you of any such components and their respective license terms.

Project Timelines and Delivery

We strive to meet all project deadlines and will provide estimated timelines in our proposals. However, timelines are estimates and may be affected by:

  • Delays in receiving required materials or feedback from clients
  • Changes in project scope or requirements
  • Technical difficulties or unforeseen challenges
  • Third-party service dependencies
  • Force majeure events

We will communicate promptly if we anticipate any delays and work with you to adjust timelines accordingly.

Changes and Revisions

7.1 Scope Changes

Changes to the project scope after work has commenced may require additional fees and extended timelines. We will provide a change order detailing the impact on cost and schedule for your approval.

7.2 Revisions Policy

Our service packages typically include a specified number of revision rounds. Additional revisions beyond the agreed scope may incur extra charges. The number of included revisions will be specified in your service agreement or proposal.

Payment Terms and Fees

5.1 Pricing

All prices for our services are quoted in Indian Rupees (INR) or US Dollars (USD) and are subject to change without notice. The pricing for custom projects will be provided in a detailed proposal or statement of work.

5.2 Payment Schedule

Unless otherwise agreed in writing, our standard payment terms are:

  • 50% advance payment before project commencement
  • 25% payment upon milestone completion (if applicable)
  • 25% final payment upon project delivery

5.3 Late Payments

Invoices are due within 15 days of the invoice date. Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend services for overdue accounts.

5.4 Refund Policy

Due to the custom nature of our services, advance payments are generally non-refundable once work has commenced. Refund requests will be considered on a case-by-case basis and subject to the terms outlined in your service agreement.

Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We will make reasonable efforts to correct any defects in our work identified within 30 days of delivery at no additional charge.

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Guarantees of specific results or outcomes
  • Uninterrupted or error-free operation
  • Compatibility with all platforms or browsers

8.3 Third-Party Services

We are not responsible for any third-party services, plugins, or APIs integrated into your project. You acknowledge that such services are subject to their own terms and conditions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NAVBHARAT LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, or data
  • Loss of business or anticipated savings
  • Loss of use, goodwill, or other intangible losses
  • Any damages resulting from unauthorized access to your data
  • Any damages resulting from interruption or cessation of service

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless NavBharat Labs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Content or materials you provide to us
  • Any negligent or wrongful conduct on your part

Termination

11.1 Termination by Us

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the services will immediately cease.

11.2 Termination by You

You may terminate your service agreement with us by providing written notice. Termination does not relieve you of payment obligations for services already rendered or costs incurred prior to termination.

11.3 Effect of Termination

Upon termination, we will deliver all completed work up to the termination date upon receipt of payment for services rendered. Any provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This includes but is not limited to:

  • Business plans and strategies
  • Technical information and trade secrets
  • Customer data and personal information
  • Financial information
  • Project specifications and requirements

This obligation shall survive termination of the service agreement for a period of three (3) years.

Dispute Resolution

13.1 Negotiation

In the event of any dispute arising out of or relating to these Terms, both parties agree to first attempt to resolve the dispute through good faith negotiation.

13.2 Arbitration

If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

13.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Greater Noida, Uttar Pradesh shall have exclusive jurisdiction over any disputes.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

General Provisions

15.1 Entire Agreement

These Terms, together with any proposals, statements of work, or service agreements, constitute the entire agreement between you and NavBharat Labs regarding our services and supersede all prior agreements and understandings.

15.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.6 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.
